1. AGREEMENT TO TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you and FP Chartered Professional Accountants LLP ("FP LLP," "we," "us," or "our"), located at L2-880 15th St., Winkler, MB R6W 1H4, Canada, concerning your access to and use of the AgriAssets application and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. SERVICE DESCRIPTION
AgriAssets is a farm asset and loan management tool designed to help agricultural businesses track equipment, calculate depreciation, manage financing, and monitor financial health. The Service includes features for asset tracking, loan management, depreciation calculations, and financial reporting.
IMPORTANT DISCLAIMER: AgriAssets is a tool designed to assist with farm financial management. It is NOT professional financial, accounting, or tax advice. Some algorithms and calculations within the Service may continue to require refinement and improvement. You should always consult with a qualified financial expert, accountant, or tax professional before making any financial decisions based on information provided by the Service.
3. SUBSCRIPTION PLANS AND PRICING
3.1 Free Trial
âĸ New users are eligible for a 7-day free trial with full access to all features
âĸ No credit card required for the free trial
âĸ Free trial is limited to one trial per device
âĸ Trial automatically expires after 7 days unless converted to a paid subscription
3.2 Annual Subscription
âĸ Price: $125.00 CAD per year (plus applicable taxes)
âĸ Billed annually
âĸ Includes full access to all features
âĸ Priority email support
3.3 Payment
âĸ Payment is processed securely through Stripe
âĸ You authorize us to charge your payment method for all fees due
âĸ All prices are in Canadian dollars unless otherwise stated
âĸ Applicable taxes will be added at checkout
4. SUBSCRIPTION TERMS
4.1 Auto-Renewal
Your annual subscription will automatically renew at the end of each subscription period unless cancelled. We will send you an email notification 14 days before your subscription renews, reminding you of the upcoming charge.
4.2 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@fpllp.ca. Upon cancellation:
âĸ You will retain access to the Service until the end of your current billing period
âĸ Your subscription will not renew for the next period
âĸ No partial refunds will be issued for the unused portion of the current period (except as outlined in Section 4.3)
4.3 Refund Policy
âĸ If you cancel within 3 months of your initial subscription purchase, you are eligible for a 50% refund of your subscription fee ($62.50 CAD)
âĸ Refunds requested after 3 months are not eligible for any refund
âĸ To request a refund, contact support@fpllp.ca with your account details
âĸ Refunds will be processed within 10 business days
âĸ Refunds are issued to the original payment method used
4.4 Price Changes
We reserve the right to change subscription prices. Any price changes will apply to renewals only and will be communicated to you at least 30 days in advance.
5. USER ACCOUNTS
5.1 Account Creation
To use the Service, you must create an account by providing:
âĸ A valid email address
âĸ A secure password
âĸ Acceptance of these Terms
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
5.2 Account Eligibility
You represent and warrant that:
âĸ You have the legal capacity to enter into this agreement
âĸ If using the Service on behalf of a business, you have the authority to bind that business to these Terms
âĸ All information you provide is accurate and current
5.3 Account Security
You agree to:
âĸ Keep your password secure and confidential
âĸ Notify us immediately of any unauthorized use of your account
âĸ Be responsible for all activities that occur under your account
6. ACCEPTABLE USE
You agree NOT to:
âĸ Use the Service for any unlawful purpose or in violation of any applicable laws
âĸ Attempt to gain unauthorized access to any portion of the Service or any systems or networks
âĸ Interfere with or disrupt the Service or servers or networks connected to the Service
âĸ Use any automated means (bots, scripts, scrapers) to access the Service
âĸ Share your account credentials with others or allow multiple users to access a single account
âĸ Reverse engineer, decompile, or disassemble any portion of the Service
âĸ Remove, modify, or obscure any proprietary notices from the Service
âĸ Use the Service to store or transmit malicious code, viruses, or harmful data
âĸ Attempt to circumvent the one-trial-per-device limitation
âĸ Use the Service in any way that could damage our reputation or business
Violation of these terms may result in immediate termination of your account without refund.
7. INTELLECTUAL PROPERTY
7.1 Ownership of Service
The Service, including all software, code, features, functionality, text, graphics, logos, and design, is owned by FP LLP and is protected by Canadian and international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business farm management purposes.
7.2 Ownership of Your Data
You retain all ownership rights to the data you enter into the Service, including:
âĸ Farm asset information
âĸ Loan and financial data
âĸ Company and category information
âĸ All other user-generated content
We do not claim any ownership rights to your data.
7.3 License to Your Data
By using the Service, you grant us a limited license to:
âĸ Store, process, and display your data solely to provide the Service to you
âĸ Create anonymized, aggregated data for analytics and service improvement (without identifying you)
We will not sell, share, or disclose your individual data to third parties except as described in our Privacy Policy.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
8.1 Service Provided "AS IS"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
8.2 No Guarantee of Accuracy
We make no guarantees regarding the accuracy, completeness, or reliability of:
âĸ Depreciation calculations
âĸ Financial reports
âĸ Loan amortization schedules
âĸ Any other data or calculations provided by the Service
ALGORITHMS AND CALCULATIONS MAY CONTAIN ERRORS OR REQUIRE REFINEMENT. YOU MUST VERIFY ALL INFORMATION WITH A QUALIFIED PROFESSIONAL.
8.3 Liability Cap
IN NO EVENT SHALL FP LLP, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $125.00 CAD, WHICHEVER IS LESS.
8.4 Not Liable for Financial Decisions
WE ARE NOT LIABLE FOR ANY FINANCIAL, TAX, OR BUSINESS DECISIONS YOU MAKE BASED ON INFORMATION FROM THE SERVICE. You are solely responsible for:
âĸ Verifying all calculations and data
âĸ Consulting with qualified professionals (accountants, tax advisors, financial planners)
âĸ Making informed financial decisions for your business
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless FP LLP, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
âĸ Your use or misuse of the Service
âĸ Your violation of these Terms
âĸ Your violation of any rights of another party
âĸ Any financial decisions made based on the Service
10. DATA AND PRIVACY
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
11. TERMINATION
11.1 Termination by You
You may terminate your account at any time by:
âĸ Cancelling your subscription through your account settings, or
âĸ Contacting us at support@fpllp.ca
11.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice or liability, if:
âĸ You breach these Terms
âĸ You engage in fraudulent or illegal activity
âĸ We are required to do so by law
âĸ We discontinue the Service
11.3 Effect of Termination
Upon termination:
âĸ Your right to access and use the Service will cease immediately
âĸ Your data will be retained for 30 days, after which it will be permanently deleted
âĸ You may request a data export within 30 days of termination
âĸ No refunds will be issued except as provided in Section 4.3
âĸ Sections of these Terms that by their nature should survive termination shall survive (including intellectual property, limitation of liability, and dispute resolution provisions)
12. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:
âĸ Email to your registered email address
âĸ Prominent notice within the Service
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.
13. MODIFICATIONS TO SERVICE
We reserve the right to:
âĸ Modify, suspend, or discontinue any aspect of the Service at any time
âĸ Impose limits on certain features or restrict access to parts of the Service
âĸ Change subscription fees for future renewals (with advance notice)
We will use reasonable efforts to notify you of material changes to the Service.
14. THIRD-PARTY SERVICES
The Service may contain links to or integrate with third-party services (such as Stripe for payment processing and Supabase for data storage). We are not responsible for:
âĸ The content, accuracy, or practices of third-party services
âĸ Any damages or losses caused by your use of third-party services
Your use of third-party services is subject to their respective terms and privacy policies.
15. DISPUTE RESOLUTION
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to its conflict of law provisions.
15.2 Jurisdiction
You agree that any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Manitoba, Canada.
15.3 Informal Resolution
Before filing any formal legal action, you agree to first contact us at support@fpllp.ca to attempt to resolve the dispute informally. We will work in good faith to resolve any disputes.
16. MISCELLANEOUS
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and FP LLP regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18. ACKNOWLEDGMENT
BY CLICKING "I AGREE" OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
